How to Sell Shares of My Company
- 1). Have a local accounting firm audit your company. The audit should take about a month to complete and will probably cost you at least $5,000.
- 2). Obtain Form 211 from the OTC Bulletin Board website (OTCBB.com). Determine how many shares you want to make available (usually at least 400,000). You also need to find or create public interest in the stock. This could be employees of the company or anyone else willing to invest in your business.
- 3). Obtain an S-1 Registration Statement form from the Securities and Exchange Commission (SEC) and register your company. It usually takes about a month for the SEC to review your submission.
- 4). File Form 211 with the Financial Industry Regulatory Authority (FINRA), which is the largest independent financial regulator in the U.S. This form allows you to set a selling price for your shares. Once you hear back from FINRA, you are ready offer your stock to the public via the trading boards.
