In Private company, the requirement for minimum number of directors and shareholders are Two and in Public company the minimum number of directors are Three and number of shareholders are seven. First of all the promoters who want to be the directors in company must have Permanent Account Number (PAN) so that they can apply for Director's Identification Number i.e. DIN. DIN application can be made in DIN 1 form which is available on www.mca.gov.in. It can be applied online as all the proofs pertaining to DIN can be attached in the DIN 1 file. Directors also must have digital signature certificate. Then apply for the name availability of the proposed company to ROC. When the name is approved then the proposed company must be incorporated within six months of the name approval otherwise the name is to be renew by paying required fees. The name approval application can be made online via. MCA portal. The form for the name approval is MCA-21 form.

After getting the name approval, following are the documents needed to get company incorporation:

1. Memorandum of Association*

2. Article of Association*.

3. Letter of authority.

4. Declaration by the promoter director.

5. Form 32 for the Director.

6. Form 18 for registered office address.

7. Payment can be done online, different payment options are available on mca portal like Demand Draft, net banking, credit card or others.

*Before filing ROC Memorandum and Article of Association are to be duly signed.

After proper reviewing of all the document the ROC will issue the certificate of incorporation. After getting the incorporation certificate the private company can start their work immediately.
