How to Register an LLC in the United States

    • 1). Decide in which state you wish to use to register your LLC. You may either register in the state where you intend to do business or another state. If you intend to have offices in other parts of the United States, you may need to register as a foreign limited liability company for each state in which you have business operations.

    • 2). Find the state agency that administers LLC registration in the state of your choice. Use the state links on Business.gov's website's "Business Incorporation" page to find the state agency for registering corporations, LLC companies and other business entities (see Resources). Filers in states such as Missouri use the secretary of state's office to register an LLC. Other states use a different office. For example, Michigan filers use the Department of Energy, Labor and Economic Growth. You can also ask the local chamber of commerce to get free information on where to file an LLC in a particular state.

    • 3). Access and fill out the LLC filing form from the state agency that administers registrations. States such as Missouri offer the option of filing an LLC online in addition to the standard paper form. States often use the term "Articles of Organization" for the LLC filing form. Some states call it a "Certificate of Formation" or another phrase. You generally can access this filing form from the agency's website and print it out on your local computer.

    • 4). Submit the LLC filing form and fee to the state filing agency. States set their own filing fees, which vary widely. For example, as of 2010, you can register an LLC online with Missouri for only $50. Conversely, the Texas Secretary of State charges $300 to file a "Certificate of Formation" for an LLC.
