How to Create a Nevada Corporation or LLC

    • 1). Select a name and registered agent for your LLC or corporation. This information must be included on the mandatory formation filing for both entities. The company name must be unique and distinguishable from every other name in the state database. A LLC's name must include the phrase "limited liability company" or an abbreviation (like LLC or Ltd.). A corporation's name must contain the word "corporation" or an abbreviation (like Inc.).

    • 2). Download Nevada business entity formation documents from the Nevada Secretary of State's website. You may also retrieve a hard-copy from a local branch of the Secretary of State's office. For an LLC, this document is titled "Articles of Organization Limited-Liability Company" (Pursuant to NRS Chapter 86). For corporations, this document is called "Articles of Incorporation" (Pursuant to NRS Chapter 78).

    • 3). Complete the articles for your company. Both corporations and LLCs must record the name of the company and the name and address of the registered agent. Articles for an LLC require the name and address of the owners (called members) of the company. Corporations must include a complete list of the members of the initial board of directors for the company. Corporations must also state the number and value of the company's planned stock structure (number and value of shares).

    • 4). (Optional)

      Complete the company's bylaws and agreements. Neither LLCs nor corporations are required to submit an operating agreement (LLCs) or bylaws (corporations). But most professionals recommend submitting these documents to give the owners more legal freedom and to avoid potential legal complication or confusion. These documents delineate the powers and responsibilities of each owner and serve as a constitution for the company.

    • 5). File the articles and operating agreement/bylaws for your company. As of June 2010, Nevada did not offer online filing services for formation documents, but does allow company to submit other documents (like annual reports) online. Include the fee in your filing. Corporations must send a base fee of $125 plus any fees for expediting the formation process or for requesting additional copies of the formation documents. The LLC articles require a $75 base fee and you may request optional services for additional cost. Send the documents the Secretary of State's office.
