Arizona Corporation Laws
- Arizona has a large set of laws for corporation doing business in the state. These laws are compiled in Title 10, the Corporations and Associations section, of the Arizona Revised Statutes. Enforcing these laws is the responsibility of the Arizona Corporation Commission, a five-member body elected by the voters.
- The name of a business entity incorporated in Arizona must contain the one of the following words (or an abbreviation of the word) in its name: association; bank; company; limited; corporation; or incorporated. An analogous word (or its abbreviation) in a foreign language also is acceptable. The entity's name may not contain the words "limited liability company "or "limited company" or the abbreviations LLC, LC, L.L.C. or L.C.
- A corporation must hold an annual meeting of its shareholders at a time stated in its bylaws. If no meeting place is designated in the bylaws, then the corporation shall hold the meeting at its known place of business. The failure to hold a meeting at the time or place stated in its bylaws does not invalidate any of the corporation's actions, according to Arizona corporation law. If the corporation does not hold an annual meeting, any shareholder may petition the court in the county in which the corporation's known place of business is located to order a meeting.
- If the board of directors want to dissolve a corporation, it must notify the shareholders and hold a shareholders meeting to vote on terminating the company. Unless the articles of incorporation specifically require a super-majority, the corporation will dissolve based on a majority vote by the shareholders, according to the Arizona Revised Statutes, Section-1402.
- Any corporate shareholder who has owned her shares for at least six months is entitled to inspect the records of the corporation, such as financial records and the minutes of board meetings. The shareholder must give the corporation written notice at least five days before the date of the inspection. The inspection will take place at the corporation's main office during regular business hours.
